Jeffrey Prowda is Senior Vice President, Chief Legal Officer and General Counsel at Valo. He is an experienced global legal strategist with demonstrated success in delivering advice on a broad range of areas, including corporate, SEC, M&A, business development as well as on other matters critical to the executive team and board of directors of a global biotech company. He joined Valo in 2019 as the Head Counsel – Corporate & Operations.

Prior to Valo Jeffrey was Senior Vice President, Associate General Counsel and Head Corporate Counsel of Shire PLC (acquired by Takeda Pharmaceuticals). At Shire he led the legal teams supporting the corporate, business development, finance, tax, treasury, group reporting, investment relations and communications functions. He has broad experience leading corporate and business development transactions and complex legal projects of all sizes while continually growing responsibilities within the business and managing a team of 40+ lawyers and other professionals. He was recognized company-wide as a top performer for innovative, practical, business-oriented approaches to issues, and expertise in achieving an appropriate balance between business objectives and legal risks to resolve problems. While at Shire he was the lead legal advisor for business development acquisitions and licenses valued at over $100B. Following Shire’s acquisition by Takeda, Jeffrey left the company after assisting in designing the integration of the legal teams and as the Shire legal representative across integration management. He joined Shire in 2014.

Prior to Shire, Jeffrey was the lead legal adviser for corporate, M&A and related projects at Nuance Communications from 2009 to 2014. Before that, he was a senior associate at Goodwin LLP (a global top 50 law firm) from 2005 to 2009 and an associate at Testa, Hurwitz & Thibeault, LLP from 2000 to 2005.

Jeffrey received his undergraduate degree from the University of Virginia graduating with High Honors (Magna Cum Laude) in 1997 with a major in American Government and a minor in History. He received his JD from the University of Virginia School of Law in 2000.
